At Siam City Cement (Lanka) Limited (INSEE Cement), good corporate governance is encouraged and reflected across every level of the organization. As a subsidiary of Siam City Cement Public Company Limited, INSEE Cement abides by the Group Corporate Governance Policy and Code of Business Conduct alongside other governing policies of Sri Lanka, further strengthening our commitment to the highest standards of business integrity in all our transactions, seeking to establish global benchmarks in our measures against non-compliance.

The primary mission of the board

Our Board of Directors is responsible for effectively implementing corporate governance policies across INSEE Cement and providing guidance on best practices. The Board is also tasked with providing tools and mechanisms to promote cooperation between INSEE Cement and its stakeholders in order to continue improving the performance and integrity of INSEE Cement. All stakeholders are regularly updated through multiple, easily accessible and trustworthy channels to further strengthen the bonds nurtured over the years.

Nurturing strong investor relations

INSEE Cement continues to pursue the best return on capital and build a future of shared success for our shareholders. Our shareholders are treated fairly and equitably, and are ensured the rights to:

  • Share the profits of the Company by receiving dividends
  • Obtain information on the Company in a timely, routine manner
  • Attend shareholder meetings, vote, elect or remove members from the board, propose for agenda items and questions, appoint external auditors, assign proxies to attend on their behalf and contribute to making decisions on any significant corporate changes at INSEE Cement

Our code of business conduct


INSEE Cement operates within a continuously evolving framework of detailed ethical business practices, standards and the correct choice of actions, compiled and brought together in its Code of Business Conduct. All employees are introduced at induction and provided necessary ongoing training on the Code of Business Conduct at INSEE Cement, to ensure they understand their accountabilities and directives in the workplace, the communities and environments INSEE Cement operate in.

Non-compliance

INSEE Cement adopts a zero-tolerance policy for bribery, corruption and other forms of non-compliance for all employees across any operational level and strongly encourage employees to speak up, question and report violations of the Code of Business Conduct.  A variety of tools have been introduced to the employees to actively contribute to preventing incidents of non-compliance with clear direction on the actions that need to be taken in the event of noncompliance. INSEE Cement is  governed by the:

  • Whistleblowing Policy (INSEE Speak Up)

These policies empower internal and external stakeholders to support INSEE Cement in eliminating all conflicts of interest and creates a transparent and honest corporate culture.
